1. PROMOTION DESCRIPTION: The Puffins Cereal “Back to School Coloring Sweepstakes” (“Sweepstakes”) is an online only sweepstakes which begins at 12:00:00 AM Eastern Time (“ET”) on 8/15/09 and ends at 11:59:59 PM (ET) on 10/15/09 (“Promotion Period”)

2. ELIGIBILITY: Sweepstakes open to legal residents of the fifty (50) United States and District of Columbia (void in Puerto Rico and all other U.S. territories), who are eighteen (18) years of age or older and have a child between the ages of 5 to 12 at the time of entry. Employees of Barbara’s Bakery Incorporated, its subsidiaries and affiliated companies, distributors, and their respective advertising and promotion agencies, judging organization and the immediate families or household members of each are not eligible to participate. All federal, state and local laws and regulations apply.

3. HOW TO ENTER: To enter the Sweepstakes, go to www.Barbara’sBakery.us (“Website”), follow the instructions to download a coloring page. Have your child color-in the coloring page and scan your child’s completed coloring page (the “Submission”). Once the Submission is completed, return to the Website, complete the online registration form including your complete name, address, telephone number and date of birth and your child’s first name and date of birth, and follow the on-screen instructions to upload your child’s Submission according to the instructions provided. Submissions must be uploaded in JPEG Format. Submissions will not be judged. Sweepstakes entries are limited to six (6) per person during the Promotion Period. Blank entries will be discarded. Entries must be submitted by 11:59:59 PM (ET) on 10/15/09. All entry forms must be complete in order to be valid.

In the event of a dispute regarding the identity of the person submitting an online entry, an online entry will be deemed to have been submitted by the Authorized Account Holder of the email address submitted at the time of entry, provided that person meets all eligibility requirements set forth in these Official Rules. “Authorized Account Holder” means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

All Submissions must be the original work of the entrant (excluding the artwork provided for coloring), never been previously published, must not infringe on any third party rights, and may not include content which is offensive, violent, derogatory, sexually suggestive, obscene, defamatory, explicit language or imagery or is otherwise inappropriate for publication in general circulation. By entering the Sweepstakes, the entrant gives Barbara’s Bakery Incorporated (“Sponsor”) the right to use, edit, or publish the Submission without further compensation and winner agrees to assign all rights, title and interest in the Submission to Sponsor, and, if required, will sign any documents necessary to transfer copyright and rights of publicity. Submission of an entry further constitutes the entrant’s consent to irrevocably assign and transfer to Sponsor any all rights, title and interest in the entry, including, without limitation, all copyrights and rights of publicity. All entry materials become the property of Sponsor and will not be returned. Sponsor is not responsible for any change of email address, mailing address and/or phone number of entrants.

4. DRAWING CRITERIA: Winners will be selected in a random drawing on or about 10/31/09 by Sponsor or its designee, the official judges in the Sweepstakes, whose decisions are final and binding. Winners will receive their selected prize on or about 11/15/09 by mail at mailing address provided during registration. Limit one (1) prize per person.

5. PRIZES/APPROXIMATE RETAIL VALUES (ARV)/ODDS: One Hundred Twenty (120) Prizes Total (15 prizes for each year of age 5 through 12) - Each prize is randomly awarded and will be ONE of the following: Beanie Puffin, Puffin Lunch Cooler, Puffin Back Pack, Puffin Yo-Yo, Puffin Pajamas, Cotton Tote or Puffin Book. (ARV $12.50 ea.). Total ARV of all prizes is $1,500. The prize winning Submissions may be posted on the Website for a limited period of time as determined by the Sponsor. Prizes will be awarded provided there are a sufficient number of qualified entries submitted. Odds of winning depend on number of eligible entries received for each age group. All applicable federal, state, and local taxes on prizes are the sole responsibility of the prize winners.

6. GENERAL: Prizes will be awarded randomly. No cash equivalents, substitutions, or transfer of prizes permitted, except by Sponsor who may substitute a prize of equal or greater value if the featured prize or any portion thereof becomes unavailable. Neither Sponsor, its parent company, subsidiaries, affiliates, advertising, promotion agencies nor their employees will have any liability whatsoever for any injuries, losses or damages of any kind caused by any prize or resulting from acceptance, possession, use and/or misuse of any prize or participation in the Sweepstakes or any prize-related activities. Acceptance of a prize shall be construed as and signify the winner’s agreement and consent that Sponsor may use the winner’s name, voice, address (city and state), photo, likeness and/or prize information, and his/her child’s name and age, without limitation, for promotional purposes without further consideration, review, approval or payment, where allowed by law. By participating in this Sweepstakes, entrants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding in all respects. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize.

7. LIMITATION OF LIABILITY: Online entries are deemed to be received at the time of receipt by the Sponsor, not at the time of transmission by the entrant. Sponsor is not responsible for lost, late, incomplete, misdirected or illegible entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor or presenter on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason this Sweepstakes is not capable of running as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes. In the event of cancellation of the Sweepstakes, winners will be randomly selected from among all eligible entries received prior to cancellation. Sweepstakes is void where prohibited.
